Tocco Supplier Terms & Conditions

These Terms & Conditions (the “Terms”) constitute a legal and binding agreement between Vuvei Ventures SAS, a French corporation ("Vuvei Ventures," "Tocco," "We," "Us," or "Service Provider"), and you, the entity using the Tocco platform as a **Supplier**. By accessing or using the Tocco platform, website, or related services (collectively, the “Platform”), you agree to comply with and be bound by these Terms. If you are acting on behalf of a business, you confirm that you are authorised to enter into this agreement on its behalf.
1. Platform Use and Supplier Eligibility
1.1 Supplier Role: You are considered a “Supplier” if you use the Platform to list, promote, or transact materials, whether as a manufacturer, distributor, or material brand.
1.2 Eligibility: Only legally registered businesses or their authorised representatives are permitted to register as Suppliers on the Platform.
1.3 Accurate Information: All submitted information—company, product, and contact details—must be accurate, current, and complete. Providing false, misleading, or incomplete information during registration or at any point thereafter may result in immediate suspension or permanent exclusion from the Platform, without notice or refund.
1.4 Account Security: You are responsible for maintaining the confidentiality of your login credentials. Sharing platform access or credentials with third parties is strictly prohibited.
2. Intellectual Property & Content Licensing
2.1 Supplier Content Ownership: You retain ownership of all content you upload to the Platform. However, by submitting any product data, images, documentation, certifications, or brand assets, you grant Tocco a non-exclusive, royalty-free, worldwide, sub-licensable licence to use, reproduce, edit, translate, and distribute this content in connection with the operation, improvement, and promotion of the Platform.
This includes, without limitation, the right to feature your materials in search results, supplier directories, marketing campaigns, digital or printed publications, press materials, public reports, newsletters, and at events or exhibitions run by or affiliated with Tocco.
2.2 Third-Party Rights: You are solely responsible for securing all necessary rights, licences, or permissions for any third-party materials you submit. Tocco shall not be liable for any claims arising from unauthorised use of third-party content.
2.3 Misuse of Platform IP: You may not use Tocco’s brand assets, trademarks, proprietary formats, visual identity, or editorial content without prior written authorisation.
2.4 Platform Content Protection: All reports, articles, platform interfaces, and original content created by Tocco are protected by intellectual property and copyright laws. Reproduction, republication, or distribution without explicit consent is strictly prohibited.
3. Product Listings, Accuracy & Sample Ethics
3.1 Product Integrity: You must ensure that all product listings are truthful, accurate, and regularly updated. Claims related to certifications, composition, environmental impact, or performance must be verifiable and not misleading.
If a product is found to differ substantially from its listing (e.g. incorrect material composition, origin, processing method, or unsupported sustainability claims), Tocco reserves the right to permanently suspend your membership without refund and report the issue to relevant partners or authorities.
3.2 Fulfilment Obligations: You are expected to correspond buyer sample or product requests in line with agreed terms for quantity, delivery timelines, quality, and responsiveness.
False promises, shipment of incorrect products, or failure to deliver without explanation will be treated as fraudulent behaviour and may result in immediate and permanent account termination without reimbursement.
3.3 Platform Formatting: Tocco may adapt, format, or edit product listings—including descriptions, visuals, tags, and layout—for consistency, clarity, or improved user experience across the Platform. While we aim to preserve the accuracy of technical information, we reserve the right to adjust, reword, or structure content at our discretion.
In some cases, Tocco may pre-fill or generate Supplier profiles using publicly available data or AI-based systems. We do not guarantee the accuracy of such data and are not liable for any resulting errors or omissions. Suppliers are responsible for reviewing and correcting their profiles.
Tocco retains full editorial control over all published supplier content and reserves the right to edit, hide, or remove any content—including supplier-submitted information—without prior notice, especially if it is inconsistent, misleading, duplicative, or non-compliant with Platform standards.
3.4 Sample Request Ethics: Suppliers are expected to respond to sample requests and buyer inquiries in good faith. Any form of manipulation, ghosting, or misrepresentation is taken seriously and may result in exclusion from Platform features and campaigns, including but not limited to Future Unbox.
Tocco operates on mutual trust and transparency. We expect all Suppliers to communicate honestly and professionally—both with buyers and the Tocco team—to uphold the integrity of the ecosystem.
4. Transactions, Commissions & Compliance
4.1 On-Platform Requirement: All commercial conversations and deals initiated through the Platform—including introductions, buyer interest, or exposure from Tocco’s media, events, or communications—must be processed via the Platform.
4.2 Commission Structure: Suppliers agree to a commission fee on any transaction or business arising from the Platform. The applicable percentage and terms are outlined in your General Supplier Agreement (GSA).
4.3 Bypassing Prohibition: Engaging directly with buyers to avoid Platform commissions is strictly prohibited. Doing so will result in immediate termination without refund, and may trigger legal action to recover owed fees.
4.4 Notification Obligation: You are required to notify Tocco of any commercial outcomes that result directly or indirectly from exposure via the Platform. This includes (but is not limited to) product orders, sample conversions, pricing discussions, partnerships, pilot projects, and investments.
Suppliers must also promptly inform Tocco of any unusual buyer activity, suspected misuse, or violations of Platform rules—such as bypass attempts, unethical behaviour, or requests that fall outside of standard business conduct. Your cooperation helps ensure a transparent and trusted environment for all users.
4.5 Audit Rights: Tocco reserves the right to review activity logs, communications, or outcomes where necessary to verify compliance with these Terms, especially in the event of suspected circumvention.
5. Membership Program
5.1 Subscription Tiers: Tocco offers tiered membership plans that unlock enhanced visibility, editorial exposure, eligibility for campaigns like Future Unbox, and access to exclusive buyer insights.
5.2 Non-Refundable Fees: All membership fees are non-refundable, including in cases of early termination or account suspension.
5.3 Renewal Policy: Memberships are billed annually and set to renew automatically by default. You will receive advance notice before renewal, including details on pricing and any changes to membership terms. You may cancel your renewal at any time before the renewal date via your account settings or by contacting Tocco support.
5.4 Limitations & Extras: Membership does not guarantee inclusion in physical campaigns, event participation or media features. Physical products (e.g. sample boxes) are treated as separate purchases. While members may receive early access or priority, availability is not guaranteed. Credits and benefits are non-transferable and expire at the end of the membership period.
6. Account Suspension & Termination
6.1 Suspension Rights: Tocco may suspend or terminate your account at its sole discretion if you breach these Terms, provide misleading information, or engage in circumvention or misuse.
6.2 Post-Termination Commission: If your account is terminated, you remain liable to pay commission fees for any deals resulting from exposure on the Platform before or after termination.
7. Limitations of Liability
7.1 Tocco’s Liability: Tocco acts solely as an intermediary. We are not responsible for buyer behaviour, non-payment, miscommunication, or loss of sales. We do not guarantee sales volume, exposure, or buyer quality.
7.2 Supplier’s Liability: Your maximum financial liability to Tocco is limited to the total amount of commission fees paid or payable during the course of using the Platform.
8. Governing Law & Dispute Resolution
These Terms are governed by the laws of France. In the event of a dispute that cannot be resolved amicably, the courts of Paris, France will have exclusive jurisdiction.
9. GDPR Compliance
Tocco processes Supplier data in accordance with the General Data Protection Regulation (GDPR). You may access, correct, or request deletion of your data as detailed in our Privacy Policy.
