Tocco Lifetime Membership Terms & Conditions

These Terms apply specifically to the **Tocco Lifetime Membership** and operate in parallel with Tocco’s general Terms of Service and Privacy Policy. In the event of conflict, these Terms shall prevail exclusively in relation to the Lifetime Membership.
1. Overview
1.1 These Terms & Conditions (“Terms”) form a binding agreement between Vuvei Ventures SAS (“Tocco”, “we”, “our”) and you, the purchaser (“you”, “your”), whether acting individually or on behalf of an organisation.
1.2 By purchasing the **Tocco Lifetime Membership** (“Membership”), you confirm that you have read, understood, and agreed to these Terms.
1.3 If you are acting on behalf of another party, you represent that you are authorised to bind them to these Terms.
2. Membership Scope & Benefits
2.1 The Lifetime Membership grants one named user access to the following:
- Unlimited access to all past and future **Tocco Material Intelligence Reports**
- Full access to the **Future Materials Map**
- Full access to the **Digital Materials Library**
- A one-time **€200 Unbox credit** (non-transferable; expires 30 September 2025)
- Priority access to select new features and early tools
- Recognition as a **Founding Lifetime Member**
2.2 Membership is strictly for individual professional use. It may not be transferred, sublicensed, or shared.
2.3 This Membership grants access to **buyer-side features** only. It does **not** include supplier-side functionality such as uploading materials, managing listings, or receiving buyer leads.
3. Pricing & Payment
3.1 The Membership is sold at a one-time fixed price, payable in full at the time of purchase.
3.2 Your pricing is locked at the moment of purchase. Tocco reserves the right to update future pricing for new members without affecting existing terms.
4. Account Assignment
4.1 The Membership is assigned to a single named email address and is non-transferable by default.
4.2 A **one-time manual reassignment** (e.g. due to job or organisational change) may be requested and will be reviewed case-by-case.
4.3 Attempts to share, impersonate, or bypass this restriction may result in immediate suspension or termination without refund.
5. Non-Refundability
5.1 All purchases are final and non-refundable, regardless of usage, satisfaction, organisational changes, or future platform evolution.
6. Limitations, Conduct & Exclusions
6.1 The Lifetime Membership **does not include**:
- Supplier-facing features or tools
- Institutional or team access
- Physical goods (e.g. sample boxes, printed reports, event tickets)
- Access to compute-intensive or high-cost future tools (e.g. AI assistants)
- Commercial resale or redistribution rights
6.2 Lifetime Members may be offered early access or discounted pricing for excluded services, but inclusion is not guaranteed.
6.3 Tocco reserves the right to suspend or terminate access for any violation, including but not limited to:
- Unauthorised sharing, scraping, or commercial exploitation
- Impersonation or misuse of platform features
- Violating acceptable sourcing conduct
6.4 **Good Faith Usage**: You must engage with the platform and suppliers in good faith. Misrepresentation of your sourcing intent may result in removal.
6.5 **Bypassing Prohibition**: You must not use the platform to discover suppliers and then bypass Tocco’s communication or transaction processes. Doing so may lead to immediate termination.
6.6 **Sample Ethics**: Requests for material samples must be based on genuine interest for testing, development, or sourcing purposes. Misuse—including resale, reverse engineering, or replication—is strictly prohibited.
6.7 **Transaction Transparency**: Tocco encourages members to report meaningful commercial outcomes (e.g. partnerships, sourcing decisions) resulting from exposure through the platform to support data integrity and shared value.
7. Feature Evolution & Platform Continuity
7.1 Tocco reserves the right to evolve or deprecate features over time.
7.2 We guarantee ongoing access to the **core value pillars** listed at time of purchase (Reports, Map, Library).
7.3 Legacy tools or deprecated formats may not be maintained indefinitely.
7.4 Certain future features or tools may be offered à la carte due to significant operational or technical costs. Lifetime Members may receive preferential access or pricing but are not automatically entitled to them.
7.5 In the event of platform shutdown, acquisition, or operational restructuring, Tocco will make reasonable efforts to:
- Provide advance notice
- Offer continuity options such as downloadable archives or PDFs
8. Modifications to Terms
8.1 Tocco may update these Terms in response to legal, operational, or regulatory changes.
8.2 Material changes will be communicated in advance when possible. Continued usage constitutes acceptance of updated Terms.
9. Privacy & GDPR
9.1 Your personal data is processed in accordance with Tocco’s Privacy Policies.
9.2 We do not sell or share user data without consent, except where legally required.
9.3 If you are located in the EU, you are entitled to rights under the General Data Protection Regulation (GDPR).
10. Termination
10.1 Tocco may suspend or terminate access if you breach these Terms, including but not limited to: fraud, misuse, scraping, impersonation, or unlawful activity.
10.2 No refunds will be issued in the event of termination for cause.
10.3 Suspension may also be enacted to protect platform integrity, security, or legal compliance.
11. Governing Law
11.1 These Terms are governed by French law.
11.2 Any disputes arising shall fall under the exclusive jurisdiction of the courts of Paris, France.
