By completing payment, you (“Participant”) enter into a binding agreement with Tocco (Vuvei Ventures SAS, France, and/or Tao Ventures Pte. Ltd., Singapore, together with their officers, employees, agents, and contractors, “Tocco”). These Terms are intentionally strict to protect the safety of the group and the viability of the programme. Participation is a privilege, not a right
Important: This programme is not a package tour. It is a curated, working delegation with dynamic, closed-door industrial visits. It requires maturity, punctuality, and full compliance with instructions and local law at all times.
1. Scope, What’s Included / Not Included
Included: curated visits, expert sessions, local ground transport per itinerary, hotel accommodation (nights of 21–25 Oct), group meals listed, on-the-ground coordination and translation where applicable.
Not included: international and domestic flights to/from China, visas and entry requirements, personal expenses, optional activities, travel/medical insurance (mandatory; you must arrange).
Tocco may subcontract local partners/providers as needed. No third-party provider is Tocco’s agent; Tocco is not liable for acts/omissions of third parties.
2. Eligibility, Documentation & Fitness
You warrant that you: (a) hold valid passport/visas/permits, (b) meet entry, health, and vaccination requirements, (c) are physically and mentally fit to participate in a fast-paced industrial itinerary (stairs, PPE, long days, variable air quality/temperatures), and (d) will supply accurate information for security clearance where required. You acknowledge entry and site access decisions rest solely with authorities/hosts; Tocco cannot guarantee visas or facility access.
3. Mandatory Insurance
Comprehensive travel & medical insurance is mandatory and must cover at minimum: medical care, accident, emergency evacuation, repatriation, and trip interruption. Tocco will not pay or reimburse medical/emergency costs in any circumstance. Proof of insurance may be requested pre-departure or on site.
4. Code of Conduct & Safety
You agree to:
- Obey all PRC laws and site-specific rules; comply immediately with Tocco staff instructions and host directions.
- Refrain from unsafe, disruptive, harassing, discriminatory, or unprofessional conduct; zero tolerance for illegal drugs, weapons, and unauthorised recording in restricted areas.
- Respect cultural norms; avoid political statements, protests, or activities that could endanger the group or compromise access.
Removal: Tocco may remove any Participant (without refund) for breach of these Terms or if Tocco reasonably believes removal is necessary for safety, compliance, or programme integrity. You will bear all resulting costs (e.g., alternative travel/lodging).
5. Confidentiality, NDAs & IP at Sites
Many visits involve sensitive information. You agree to:
- Treat all non-public information seen/heard as Confidential for five (5) years; do not disclose, photograph, or post without written permission.
- Sign additional NDAs or security forms if a host requires; failure/refusal may mean exclusion from that visit without refund.
- Respect all IP, trade secrets, and recording bans; no reverse-engineering or solicitation that breaches host rules.
6.Anti-Bribery, Sanctions & Compliance
You warrant that you are not subject to sanctions or on any restricted party list and that you will comply with applicable anti-bribery/anti-corruption laws (including PRC law, Singapore law, French law, and where applicable, UK Bribery Act/US FCPA). No gifts, facilitation payments, or improper inducements may be offered to officials/hosts. Tocco may conduct basic KYC/sanctions screening and may refuse/terminate participation at its discretion.
7. Media, Likeness & Recording
Tocco may capture photos/video/audio for reporting and promotional use. By participating, you grant Tocco a worldwide, royalty-free licence to use your image/name/voice. To opt-out of identifiable media, email Tocco five (5) business days before Day 1; operational constraints may limit accommodation of late requests. Host recording bans always override your consent.
8. Payments, Taxes, Chargebacks
- Full payment is required to confirm a seat.
- All payments are non-refundable (see §9).
- You are responsible for any taxes/withholding imposed by your jurisdiction.
- Chargebacks prohibited: You agree not to initiate chargebacks except in cases of proven fraud. If you do, you will be liable for all costs, fees, and reasonable attorneys’ fees incurred in contesting the chargeback.
Pricing/tier language and sales operations align with your expedition materials; nothing herein guarantees specific tiers/discounts unless expressly granted in writing by Tocco.
9. Cancellations, Transfers & Changes
If you cancel: No refunds for any reason (including visa issues, illness, schedule conflicts).
Transfers: You may request a seat transfer to a qualified replacement only with Tocco’s prior written consent; Tocco may refuse any transfer at its sole discretion. An admin/name-change fee (up to €250) and any incremental logistics costs may apply.
If Tocco cancels: For force majeure or safety/compliance reasons, Tocco will refund amounts paid to Tocco as full settlement; Tocco is not liable for your external costs (flights, visas, insurance).
Itinerary changes: The programme, sites, speakers, and sequence may change at any time. Tocco will deliver equal or better alternatives where feasible; such changes are not grounds for refund.
10. Assumption of Risk; Release; Indemnity; Limitation of Liability
Assumption of Risk. You understand and accept the inherent risks of international travel and industrial site visits (transport hazards, equipment/factory environments, varying safety standards, disease, weather, security conditions, and actions of third parties).
Release. To the fullest extent permitted by law, you release and discharge Tocco from all claims, losses, damages, and liabilities arising from or related to your participation, except for claims directly caused by Tocco’s proven gross negligence or wilful misconduct.
Indemnity. You will defend, indemnify, and hold harmless Tocco from and against all claims, losses, costs, and expenses (including reasonable legal fees) arising from (a) your breach of these Terms, (b) your negligence/misconduct, (c) damage you cause to property or persons, or (d) your violation of law/host rules.
Limitation of Liability. To the maximum extent permitted by law: (i) Tocco’s aggregate liability is limited to the amount you paid to Tocco for this expedition; (ii) Tocco is not liable for indirect, consequential, special, exemplary, punitive, or lost-profit damages, even if advised of the possibility.
11. Accommodation, Extras & Personal Property
You are responsible for incidental hotel charges (minibar, room service, damages, deposits). Tocco is not liable for lost/stolen/damaged personal property. You should use hotel safes where available and maintain appropriate personal insurance.
12. Digital Conduct & Restricted Tech
You will comply with local regulations on devices, data, SIM registration, drones, mapping, encryption apps, and public communications. You accept that network access/content may be restricted in China and agree to follow Tocco’s digital-security guidance when provided.
13. Tier-Specific Terms
Partner Tier. Partners may receive additional visibility, facilitated introductions, and priority access. Any “success fee” or follow-on collaboration is not governed here and, if applicable, will be set out in a separate written agreement signed by both parties. Partner tickets remain non-refundable.

14. Force Majeure
Tocco is not liable for delay or failure to perform due to events beyond its reasonable control, including but not limited to: acts of God, extreme weather, natural disasters, epidemics/pandemics, public health measures, war, terrorism, civil unrest, sanctions, labour disputes, government actions, site closures, transport failures, or utility outages.
15. Relationship of the Parties; No Agency
Participation does not create a partnership, joint venture, agency, franchise, or employment relationship between you and Tocco. You may not represent that you are an agent of Tocco or bind Tocco to obligations of any kind.
16. Data & Privacy
By registering, you consent to Tocco collecting, processing, and transferring your personal data (including passport/ID details) to partners/authorities as needed for security clearances, logistics, and coordination. Cross-border processing may occur in the EU, Singapore, and the PRC. Tocco will handle data in accordance with applicable law and its policies.
17. Disputes, Governing Law & Jurisdiction
These Terms are governed by the laws of Singapore or France (as indicated on your invoice/receipt). Disputes are subject to the exclusive jurisdiction of the competent courts of the selected governing law, conducted in English. Nothing prevents Tocco from seeking urgent injunctive relief or payment enforcement in any competent forum.
18. Miscellaneous
- Entire Agreement & Updates. These Terms (and any order/confirmation) are the entire agreement for your participation. Tocco may issue administrative updates; the latest published version applies to active participants.
- Severability. If a clause is invalid, the remainder remains enforceable.
- No Assignment by Participant. You may not assign or transfer your rights/obligations (except a permitted seat transfer under §9). Tocco may assign to an affiliate or successor.
- Notices. Electronic communications to your registration email constitute notice.
- Language. The English version governs.
19. Final Acknowledgment
By paying, you acknowledge: (a) you read and agree to these Terms; (b) you accept all risks and the non-refundable nature of payments; (c) you will maintain required insurance; and (d) you will comply with all instructions, laws, and site rules throughout the programme.

Annex A — Behaviour & Safety Rules (Operational Extract)
Arrive on time; repeated lateness may trigger exclusion from that day’s visit. 2) Wear closed-toe shoes; follow PPE instructions. 3) No photos/audio/video where prohibited; obey “no phone” zones. 4) No gifts to officials/hosts. 5) Respect fellow participants; zero harassment. 6) Alcohol limited to designated settings; intoxication during visits is prohibited. 7) Report incidents immediately to staff. (Breach → removal, §4.)
Annex B — Transfer Request Checklist
Replacement’s full name, passport copy, company/role, short bio, mobile/WeChat, proof of insurance, visa readiness. Tocco confirms acceptance in writing; admin fee/incremental costs payable before the transfer is effective. (See §9.)
Annex C — Media Opt-Out
Email ops@tocco.earth with subject “Media Opt-Out – Full Name – Oct 2025 Cohort” by 14 October 2025. Tocco will honour reasonable efforts except where operationally impossible or where host content capture is mandatory for security/logs. (See §7.)
