These Terms & Conditions (the "Terms") constitute a legal and binding agreement between Vuvei Ventures SAS, a French corporation ("Vuvei Ventures," "Tocco," "We," "Us," or "Service Provider"), and you, the entity or individual using the Tocco platform as a Buyer. By using the Tocco platform (the "Platform"), you agree to be bound by these Terms. If you are acting on behalf of a business, you confirm you have the authority to bind that entity.
1. Platform Use and Buyer Eligibility
1.1 Buyer Role: You are considered a "Buyer" if you browse, evaluate, or engage with suppliers or material listings.
1.2 Profile Requirements: Buyer profiles must be created through correct onboarding for full platform access. Incomplete profiles may be hidden from suppliers.
1.3 Good Faith Usage: Buyers must use the platform and all its content in good faith and not misrepresent their sourcing intent.
2. Content Access & Intellectual Property
2.1 Platform Content: All materials on the Platform—including supplier-uploaded data (such as product images, descriptions, and documents) and Tocco-produced content (such as reports, articles, and interface elements)—are protected by intellectual property laws. Any use, reproduction, or distribution of this content outside the Platform must be authorised and properly credited where applicable.
2.2 Supplier Content Use: You may view and internally reference supplier-uploaded content (e.g. images, descriptions, documents) to evaluate materials or discuss with your team. However, you may not reproduce, share externally, or use this content for commercial purposes without the supplier’s express permission.
2.3 Tocco Content Restrictions: All Tocco-produced content—including reports, articles, guides, and downloaded PDFs—is protected by copyright. You may not copy, distribute, publish, or share these materials (in part or full), nor grant others access to your account, without prior written authorisation from Tocco.
3. Sample Requests & Sourcing Ethics
3.1 Sample Integrity: You may only request material samples when you are genuinely evaluating them for testing, sourcing, or project use. Excessive or indiscriminate requests (“supplier spamming”) may result in temporary or permanent account restrictions.
3.2 Misuse: Sample requests made under false pretences—including but not limited to resale, replication, reverse-engineering, or data harvesting—are strictly prohibited. Such misuse may result in immediate and permanent exclusion from the Platform, without refund or recourse.
4. Transactions, Transparency & Bypassing
4.1 On-Platform Requirement: All commercial interactions with suppliers discovered via the Platform—whether related to products, services, or partnerships—must be initiated and conducted through the Platform.
4.2 Bypassing Prohibition: Attempting to bypass the Platform by engaging suppliers directly (e.g. via email, social media, or other channels) to avoid Tocco’s process is strictly prohibited. Such behaviour may result in immediate account suspension or permanent exclusion without refund.
4.3 Transaction Reporting: Buyers must proactively report any commercial outcomes that arise from exposure on the Platform. This includes, but is not limited to, sample requests, product purchases, pricing discussions, data exchange, partnerships, or sourcing decisions.
5. Access, Fees & Events
5.1 Free & Paid Plans: Buyers may access the Platform under either a free plan (“Explorer”) or a paid membership plan (“Insider” or “Insider Pro”). Basic browsing and some digital features are free, while premium features—including access to material data, unlocked messaging, specific editorial content, and event invitations—are available to paying members.
5.2 Billing & Pricing: Paid memberships are billed annually. While Tocco reserves the right to adjust pricing in the future, changes will not affect the cost of your current plan during an active billing cycle.
5.3 Physical Products & Extras: Physical items such as sample boxes, event participation and exclusive content may not be included in membership fees and must be purchased separately. Members may receive early access or priority for such offerings, but access is not guaranteed and remains subject to availability and selection criteria.
6. Account Suspension & Termination
6.1 Fraud Prevention: Tocco reserves the right to suspend or permanently disable any Buyer account found to be engaging in fraudulent activity, misuse of platform features, or attempts to bypass supplier engagement protocols.
6.2 Data Deletion: In accordance with the General Data Protection Regulation (GDPR), Buyers may request the deletion of their personal data at any time by contacting Tocco. Account deletion may result in the loss of access to all platform services and previously saved activity.
7. Limitation of Liability
7.1 Disclaimer: Tocco is not liable for delays, product inaccuracies, or non-delivery by suppliers.
7.2 Own Risk: Use of the Platform is at your own risk. Tocco acts solely as an intermediary and does not guarantee the accuracy, completeness, or reliability of supplier-submitted information, including product data, certifications, or examples. We are not responsible for outdated, incorrect, or misleading content.
8. GDPR Compliance
We process Buyer data in accordance with the General Data Protection Regulation (GDPR). For full details, consult our Privacy Policy.
9. Governing Law & Jurisdiction
These Terms are governed by French law. Any disputes shall be resolved exclusively in the courts of Paris, France.
